Overview
A 15 unit course covering the law, meaning and use of the essential Legal English words and phrases needed by lawyers working in the field of company/corporate law and other business structures. The course includes both the law and practical instruction on how to form companies, issue shares and capitalisation, the duties and powers of directors and how companies are governed and make decisions. The course also covers the law and documentation of Mergers and Acquisitions, company closures and sale of assets. All the teachers and trainers are either qualified British Barristers or Solicitors with experience of Corporate Law and giving them an understanding of the questions and tasks your clients are likely to request.
The content of the course has been assessed and certified by The CPD Certification Service as confirming to continuing professional development principles. Earn 15 hours of CPD on completion of the course.

Characteristics of companies and corporate bodies (limited liability companies distinguished from partnerships and other business organisations).
Company and Corporate Law Lesson 2
Different types of business entities (private limited companies, public limited companies, limited liability partnerships and others + different types of company shares).
Company and Corporate Law Lesson 3
Capitalisation (different ways companies raise money to go into business. Debt V Equity financing).
Company and Corporate Law Lesson 4
Fundamental changes in corporate structure (changing the name, issuing new shares, changing the objects or bylaws, mergers, acquisitions, spin-offs, split-offs and liquidation + Vocabulary and methods of Anti-takeover defences).

Law of Agency Pt 1. What is the law of Agency and how does it come into existence between a company and its officers and employees. How does it affect companies, directors, managers and senior employees.

Law of Agency Pt 2. The duties and obligations of directors and managers (directors Fiduciary duties – duty of loyalty, duty of care, breach of the duties. Directors’ and Officers’ Insurance.

Law of Agency Pt 3. Director’s duties of loyalty, directors’ defences to breaches and company remedies for breaches. Sarbanes Oxley obligations upon Directors and officers.

Differentiation of management roles within the company (who is responsible for what in the company, directors delegated duties and potential breaches of duty).

Shareholders Pt 1. Shareholders rights and powers – shareholders votes and voting agreements – Date of record – Different methods of voting.

Shareholders Pt 2. Voting lists, Cumulative voting, Staggered voting, Stock transfer restrictions.

Directors (staggered or classified boards, duty to act as a group, notices, quorums, objections, and board vacancies).

Fiduciary duties Pt 1. (Duties of directors, managers, and controlling shareholders (what are fiduciary duties, who has to comply with them, consequences of breach of duty).

Fiduciary duties Pt 2. (Duty of loyalty, the business judgement rule defence to breach of duty, prohibitions against self-dealing).

Derivative court actions (powers of the shareholders to sue the directors on behalf of the company – benefits and restrictions).

Closure of companies (voluntary winding up, receivership, liquidation, bankruptcy).
The essential law and terminology of Company, Partnership and Corporate Law and related financial transactions such as debentures and crystalisation. The course includes explanations of essential Legal English words and phrases needed by lawyers working in this area of Law.
The course is delivered at a rate of 2 online lessons per week over an 8 weeks. The course requires 15 hours of lesson time plus another 10 hours of private study time, using inter-active study exercises submitted through the Internet and e mail.
